1. Purpose and scope
These General Terms and Conditions of Sale and Services (hereinafter “GTC”) govern all services offered by 3Tranx (hereinafter “the Provider”) to clients, whether professionals or individuals (hereinafter “the Client”), including in particular:
· Sourcing suppliers in China,
· Logistics and transport (air, sea, customs clearance),
· Transfer of currencies FCFA/EUR to Chinese Yuan RMB (Alipay, WeChat Pay),
· Training (e-commerce, purchasing on Chinese platforms, etc.),
· Software solutions for SMEs (management, catalog, etc.),
· Digital marketing and consulting services.
Any order or use of the services implies full and unconditional acceptance of these GTC.
2. Quote and order
· Any service is subject to a prior quote sent by 3Tranx, valid for 15 days unless otherwise stated.
· The order is confirmed by signing the quote or by a partial payment (deposit).
· 3Tranx reserves the right to refuse any order for legitimate reasons (suspicion of fraud, non-compliance with laws, etc.).
3. Pricing and payment
· Prices are indicated in FCFA (for Africa) or in EUR (for Europe), excluding taxes where applicable.
· Bank transfer fees, exchange fees, or platform fees (e.g., Alipay commission) are borne by the Client, unless otherwise stated in the quote.
· Payment methods: bank transfer, Mobile Money (Wave, Orange Money, MTN MoMo), bank card (via secure partner) or cash (only at 3Tranx premises).
· A deposit of 30 to 70% may be required depending on the service. The balance is due before delivery or according to defined deadlines.
4. Services provided – specific descriptions
4.1 Sourcing and supplier verification
3Tranx undertakes to search for suppliers matching the Client’s specifications. 3Tranx cannot be held liable for manufacturing defects, delays, or commercial disputes between the Client and the supplier, except in the case of proven gross negligence in the initial verification.
4.2 Transfer FCFA/EUR → RMB
The transfer time is indicated in the quote (generally 24 to 72 hours). 3Tranx is not responsible for blocks by Alipay, WeChat Pay, or banks for compliance reasons. Recall or cancellation fees are borne by the Client.
4.3 Logistics and customs clearance
The Client must provide accurate information on the nature, value, and origin of the goods. Customs duties, taxes, and unforeseen fees are borne by the Client. 3Tranx acts as a freight forwarder agent; ownership of the goods is transferred to the Client upon shipment (incoterm according to quote, generally FOB or EXW).
4.4 Training
Online training is accessible for 30 days after purchase (replay). No refund is possible after the first module has been completed. 3Tranx may modify the content without prior notice to improve it.
4.5 Software solutions
Software (SaaS) is provided “as is.” 3Tranx undertakes to maintain a reasonable level of availability (99%). Additional features may be billed separately.
5. Delivery and deadlines
· For physical goods: deadlines are given for indicative purposes only. A delay in transport (air/sea) or customs does not entitle the Client to a penalty or cancellation.
· For digital services (training, licenses): delivery is made by email or online access within 24 hours after full payment.
6. Right of withdrawal and cancellation
· Consumer clients (EU): 14-day right of withdrawal for digital services if not consumed. For sourcing or logistics services, the right of withdrawal does not apply (execution upon express request).
· Professional clients: no right of withdrawal. Any cancellation of a committed order results in payment of 50% of the total amount as compensation, unless otherwise stated.
7. Liability and warranty
· 3Tranx uses all reasonable means to provide its services but does not guarantee absolute results (e.g., finding a supplier, success of an advertising campaign).
· 3Tranx’s liability is limited to the total amount paid by the Client for the service concerned. Under no circumstances can 3Tranx be held liable for indirect damage (loss of profits, damage to image, etc.).
· The Client guarantees that its products or requests comply with the laws in force in its country.
8. Intellectual property
· All materials provided (documents, software, methods, catalogs) remain the property of 3Tranx. They may not be copied, redistributed, or resold without written authorization.
· The Client retains ownership of its personal data and specifications but authorizes 3Tranx to use them for the execution of the order.
9. Confidentiality and personal data
· The information exchanged is confidential. 3Tranx undertakes not to disclose supplier or client data to third parties, except where required by law.
· In accordance with the GDPR (for EU residents) and local legislation, the Client may request the correction or deletion of their data.
10. Force majeure
The following are considered cases of force majeure: war, epidemic (e.g., COVID-19), border closures, transport strikes, major cyberattack, decision by a Chinese platform (Alibaba, Alipay, etc.). Deadlines are suspended without penalty.
11. Termination
· In the event of a serious breach by the Client (non-payment, fraud), 3Tranx may suspend or terminate the services without notice.
· 3Tranx may terminate a subscription service (e.g., software) with 30 days’ notice.
12. Disputes and applicable law
· These GTC are governed by Beninese law (registered office of 3Tranx) or, at the choice of the European Client, by French law, for mandatory aspects.
· Any dispute will first be subject to an attempt at amicable resolution. Failing this, exclusive jurisdiction is granted to the courts of Cotonou (Benin) for African clients, and to the courts of Paris (France) for European clients, subject to mandatory rules.

Annex (integrated herein): The specific conditions of each service (quote) shall prevail in the event of contradiction with the general GTC, unless they are less favorable to the Client.
